OEM or aftermarket CiC upgrade

I have a 2008 M3. The NAV computer is dead. I could replace it with another CCC but if I have to spend that much I might upgrade it to the newer CiC. This needs "codes" to work with the car. You can buy them from BMW or use an aftermarket hardware device to activate it.

My question is... What are the disadvantages to the hardware activation? Obviously it save money. There has to be a down side.
