Correct
In technical terms the kenetic energy is converted into 'elastic' potential energy - same way that you use energy to compress a spring and it springs back; the energy is used to deform the metal - but it doesn't spring back.
Also, a lot of energy is released in the form of heat.
As for if one party is moving and another is at rest - no change. Just less kenetic energy to begin with being transferred into both cars.
