New 2009 M3 Sedan price - Too good to be true?

Hello to all - I have been doing research on this car for a while and I am now shopping.
(BTW I want to thank all of you for the information and opinions that I found on this forum. It has been very helpful.)

I found a car at a local dealer that sounds really good to me. I would like to know what people think about this deal.

19" wheels

Enhanced Premium Sound

Has around 70 miles on it - has seen some demo miles.
This is a cash deal - No financing.

MSRP 70325 as per dealer (69975 as per my calculations -the $350 difference seems to be from dealer using 2010
numbers for base price (unless 2009 MSRP was changed from the list I saw $54500).

Invoice $64595

He offered 66750 over the phone and then 63500 in person. I offered 61000 and he has countered with 61900.

What do you guys think?
