Price Check: 2008 M3 Convertible DCT

Hey guys, I was considering trading in my IS-F for an e93 M3 Vert.

The specs on the bimmer are:
2008 M3 Convertible
35k miles
Nav
DCT
Prem Sound
19" wheels

Best price I've gotten so far is $48,000. Clean carfax, 1 owner vehicle. I have a 2008 ISF with 20k miles and they are offering $37,000 trade in. Is this something I should consider? Is the price of the M3 fair? It is NOT from a BMW dealer.
